Dealer Agreement

Terms for applying to, accessing and using the Japan Brand Auction dealer service. Order-specific terms are confirmed before payment.

Parties and status

These terms form an agreement between the approved dealer (“Dealer”) and 株式会社COCO (“COCO”, “we” or “us”) for the Japan Brand Auction dealer service. Submitting an application does not guarantee approval and does not itself create an auction access or purchase agreement.

COCO is the contracting and service operator. The secondhand dealer permit displayed elsewhere on this site is held by 富丸貿易株式会社; displaying that permit does not itself change the contracting party.

Who may apply

Companies and genuine sole proprietors or individual merchants may apply. The applicant must provide accurate, current information and documents reasonably requested for identity, business, sanctions, export-control and fraud review. We may request clarification or additional evidence where the initial material is insufficient.

We may decline an application where identity cannot be verified, information is materially incomplete or misleading, the applicant or destination is prohibited or sanctioned, delivery is unavailable, or the risk cannot reasonably be managed. Approval decisions are made by COCO.

Authorised auction access

After approval, the Dealer and the individuals named in its application may use the AUCNET or ECOAUC access that JBA assigns to them, but only through the access method and operating conditions approved by JBA and the relevant auction operator. Access remains under JBA's administration and may not be transferred, resold, sublicensed, disclosed to an unapproved person or used to place bids for an undisclosed third party.

The Dealer is responsible for activity performed through its approved access and must follow JBA's remote setup, security and identity checks. Credentials must not be copied or retained outside the approved access method. Suspected loss, disclosure or misuse must be reported immediately. JBA may change, pause or withdraw access where required by the auction operator, security controls or these terms.

COCO coordinates activation and notifies the Dealer when access is ready. AUCNET and ECOAUC remain governed by their own operator rules. References to either platform do not imply that JBA or COCO owns, sponsors or controls that platform.

Bids and purchases

A bid or purchase request becomes binding when accepted under the applicable auction or order rules. Product information, condition reports and photographs should be reviewed before bidding. The final invoice, order confirmation or accepted quotation identifies the item, price, fees, delivery terms and any order-specific conditions.

Where these general terms conflict with a signed dealer agreement or an expressly accepted order confirmation, the more specific accepted document controls for that transaction.

Fees, payment and deposit

The current service fee is 5% (tax included) of the amount payable by COCO to the upstream auction operator, unless an accepted order document states otherwise. Membership, buyer-ID rental and deposit amounts are not fixed by this page; the amount, billing cycle, buying limit and refund timing must be shown to and accepted by the Dealer during onboarding or in a signed schedule.

A successful bid remains binding, but the website's 24-hour payment period starts only when COCO confirms the complete payable amount and issues the payment request. Any different deadline must be stated in the accepted invoice or payment request. Payment methods, currency, transfer costs and exchange-rate treatment are set out in that request. Cancellation, suspension and termination

Dealers may not cancel a successful bid merely because market value, exchange rates or preference changes. If payment is late or an obligation is breached, COCO may pause bidding or buyer-ID access and, where contractually and legally permitted, hold undelivered goods. Any deposit deduction is limited to unpaid sums, agreed fees and documented actual loss; the remaining balance is refundable under the accepted deposit schedule.

Access may also be suspended for suspected fraud, security incidents, sanctions or export-control risk, misuse of credentials, or material misrepresentation. Reinstatement is not automatic and may require payment clearance and COCO review.

Shipping, returns and risk

International shipping, duties, taxes and insurance are normally charged to the Dealer. Destination availability and the point at which risk transfers are confirmed per order. Carrier or insurer compensation is limited by its contract and coverage. Our Transaction Policy explains the current framework for loss, damage, returns and claims.

Acceptable use

The Dealer must comply with applicable law, sanctions, export controls, customs rules and intellectual-property rights. The service must not be used for unlawful resale, fraud, market manipulation, unauthorised access, automated interference or transactions for undisclosed third parties.

Liability

Nothing in these terms excludes liability that cannot legally be excluded. Subject to that rule, each party is responsible for loss it causes by breach, negligence or unlawful conduct. COCO is not responsible for indirect or speculative loss, market-price movement, a Dealer’s resale margin, or delay caused solely by a carrier, bank, public authority or external auction platform beyond COCO’s reasonable control.

No separate monetary cap on liability is inserted in these terms.

Law, notices and changes

These terms are governed by Japanese law. The Tokyo District Court is the exclusive court of first instance, subject to any mandatory law. Operational notices may be sent to the Dealer’s registered email. Material changes will not retroactively alter a completed transaction and will be notified where consent is required.
